Nature of Services

Lime Diamond Ventures, LLC provides access to a business infrastructure platform that may include:

  • CRM and opportunity tracking
  • Marketing communication systems (SMS, email, voice integration)
  • Workflow automation
  • Social media publishing tools
  • AI-assisted communication tools
  • Reporting dashboards
  • Payment collection tools
  • Onboarding and implementation services
  • Managed marketing services (if purchased)

The platform provides marketing and operational infrastructure tools. Business performance depends on Client execution and participation.

Subscription, Billing, and Cancellation

All subscription plans renew automatically unless canceled.

Clients may cancel at any time by adjusting their subscription within the billing settings of their account prior to the next scheduled billing date.

Cancellation prevents future renewal charges but does not result in a refund of payments already made.

Monthly Plans

  • Service remains active through the end of the current paid billing cycle.
  • No prorated refunds are issued for unused time.
  • Access terminates at the end of the paid period.

Annual Plans

  • Annual plans are billed in full at purchase for a 12-month term.
  • Annual payments are non-refundable.
  • If canceled early, service continues until the prepaid term ends.
  • Cancellation prevents renewal but does not terminate the prepaid term.

Setup, onboarding, and implementation fees are non-refundable once services have commenced.

Usage-Based Charges

Voice, SMS, AI Employee, and other consumption-based services are billed separately based on actual usage.

Charges may vary based on carrier rates, message volume, AI processing usage, and third-party provider pricing.

All usage charges incurred prior to cancellation remain due.

Onboarding and Implementation

Purchase includes a 30-day onboarding and configuration period.

Clients agree to:

  • Schedule onboarding sessions promptly
  • Provide required account access
  • Participate in configuration meetings
  • Supply necessary business information

Failure to participate in onboarding does not constitute grounds for refund.

If the Client does not engage within 30 days of purchase, Company may configure the system using industry-standard practices and predefined templates.

Managed Services (If Purchased)

If managed services are purchased:

Cancellation follows the same subscription policy

Services are billed separately

Scope is defined at time of purchase

Advertising spend is not included unless specified

Payment Processing

The platform may include payment processing tools integrated through third-party providers.

Client acknowledges:

  • Payment processing is governed by third-party processor terms
  • Processing fees and dispute fees are Client’s responsibility
  • Payout timing, reserves, holds, and freezes are controlled by the payment processor
  • Company is not responsible for chargebacks, disputes, or processor decisions
  • Client is responsible for tax compliance
  • Payment tools may not be used for unlawful or prohibited transactions

Company does not guarantee successful collection of payments.

Data Ownership

Clients retain ownership of their contact data, customer information, and uploaded content.

Upon cancellation, Clients may export their data in accordance with platform capabilities.

Company does not claim ownership of Client contact lists or customer data.

Intellectual Property

All proprietary workflows, automation logic, system configurations, templates, snapshots, implementation frameworks, and internal architecture created by Lime Diamond Ventures, LLC remain the exclusive intellectual property of the Company.

Clients are granted a limited, non-transferable license to use these systems during active subscription.

Clients may not copy, replicate, distribute, transfer, or resell proprietary system architecture or automation structures.

Access to proprietary infrastructure terminates upon cancellation.

Service Availability

We strive to ensure smooth operation but do not guarantee uninterrupted or error-free service.

We reserve the right to modify or discontinue services at any time.

Third-Party Links

Our website may contain links to third-party sites. We are not responsible for the content, policies, or practices of third-party websites.

No Performance Guarantees

We do not guarantee:

  • Revenue growth
  • Lead volume
  • Conversion rates
  • Business profitability

The platform provides tools and infrastructure only.

Limitation of Liability

To the fullest extent permitted by Michigan law, Lime Diamond Ventures, LLC shall not be liable for any indirect, incidental, special, or consequential damages.

Total liability shall not exceed the amount paid by the Client in the preceding three (3) months.

Indemnification

You agree to indemnify and hold Lime Diamond Ventures, LLC harmless from any claims, damages, losses, or expenses arising from:

Content distributed through the platform

Misuse of the website or platform

Violation of communication laws

Payment disputes or chargebacks
